Website, you agree to be bound by these Terms and Conditions. If you do not agree to these

By accessing and using the Website, you (“Producer”) agree to comply
with and be legally bound by these Terms and Conditions. If you do not agree to these
Terms, you should not access or use the Website.

2. Changes to Terms

The Website Owner reserves the right to update or modify these Terms at any time. All
changes will be posted on this page, and the updated Terms will be effective immediately
upon posting. It is your responsibility to review these Terms regularly. Your continued use of
the Website after any changes to these Terms constitutes your acceptance of the updated
Terms.

3. Use of the Website

• The Website Owner operates this website, which offers a
  platform for music creators (artists, producers) to upload, License or sell their beats to users.
• The Producer is a creator of original beats (the “Beats”) and wishes to upload and
  make available such Beats on the Website
• You agree to use the Website for lawful purposes only and in accordance with these Terms.
• You agree not to engage in any activity that may interfere with or disrupt the
  functionality of the Website, including but not limited to hacking, spamming, or
  uploading harmful content.
• You may be required to create an account to access certain features of the Website.

You are responsible for maintaining the confidentiality of all activities that occur under your account.
NOW, THEREFORE, the Parties agree as follows:

4. Grant of License

The Producer(s) hereby grants Freeworld Studios a non-exclusive , worldwide, royalty-free
right to host, distribute and grant licenses to use the Beats uploaded by the Producer(s) on
the Website to third party and also grants permission to Freeworld studios to issue exclusive
license to a third party on demand. This licenses also includes the right for Freeworld
Studios to use, display, promote, and otherwise exploit the Beats solely in connection with
the Website’s services.

5. Upload of Beats

The Producer(s) agrees to upload only original Beats that do not infringe upon the
intellectual property rights of any third party (or has received clearance to use sample or
materials used in the beat). The Beats shall be uploaded in a format and size acceptable to
the Us. Freeworld Studios reserves the right to issues refund to customers if uploaded product is compromised or not up to standards

6. Ownership and Rights

The Producer(s) reserves the right to retain all ownership and copyright and credit to the
Beats uploaded to the Website EXCEPT for a case of an exclusive sale where the producer
transfers ownership to the buyer at an agreed price and ceases to issue license or sale of
the beat or instrumental. In this case, the producer still reserves the right to credit and must
be credited.

7. Payment and Revenue Sharing

The Parties agree to a revenue-sharing arrangement whereby the Website Owner shall
charge a non- constant charge of 15-25 percent for service and operation. This
revenue-sharing percentage shall apply to all sales and transactions involving the Producer’s
Beats on the Website.
Producers also agree to submit their bank information where payment will be transferred to,
on a quarterly basis, within 30 days of the end of each payment period, and will include a
detailed statement of sales and the corresponding payment due to the Producer upon
request.

8. Content Moderation and Removal

The Website Owner reserves the right to review and approve all Beats uploaded by the
Producer. The Website Owner may remove any Beat that violates the terms of this
Agreement or the Website’s content guidelines, or that is deemed inappropriate, offensive, or
illegal.

9. Promotion

The Producer grants the Website Owner the right to promote the uploaded Beats via the
Website, social media, email marketing, or other methods of promotion. The Producer
agrees to participate in promotional efforts as reasonably requested by Freeworld Studios.
10. Payment and Transactions

• The Website may offer paid products or services. By making a purchase on the
  Website, you agree to pay the applicable fees and charges for the products or
  services you select.
• Payment will be processed through any agreed means by both parties . You agree to
  provide accurate payment information and authorize the Website to charge your
  payment method for any purchases.
• Refunds may be processed upon request by customer and payment retracted if it is
  deemed that the beats or material violates the website terms of use.

11. Intellectual Property

• All content, including but not limited to text, images, logos, and videos, available on
  the Website is the property of the Freeworld Studios or its licensors and is protected
  by intellectual property laws.
• You may not reproduce, distribute, or use any content from the Website without the
  prior written consent of the Website Owner.

12. Privacy and Data Collection

By using the Website, you agree to the collection and use of your personal information in
accordance with the Website’s Privacy Policy, which can be found Here. The Privacy Policy outlines how your data will be collected, used, and protected.

13. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights.
• Using the Website to distribute harmful software (e.g., viruses, malware).
• Engaging in any conduct that could damage or disable the Website or interfere with
  other users’ ability to use the Website.

Federal Republic of Nigeria. Any disputes arising under or related to this Agreement shall be
subject to the exclusive jurisdiction of the courts in Nigeria.

Any disputes or claims arising from or relating to this Agreement shall be resolved through
negotiation and, if necessary, mediation or arbitration. The parties agree to seek an amicable
resolution before pursuing legal action.

19. Miscellaneous

● Entire Agreement: These Terms constitute the entire agreement between you and
Freeworld Studios concerning the use of the Website and supersede all prior
agreements or communications.

● Severability: If any provision of these Terms is found to be invalid or unenforceable,
the remaining provisions will remain in full force and effect.

● Assignment:  Freeworld Studios may assign its rights and obligations under this
Agreement to third parties without your consent.
